SAAF Governance and Management


Governance: SAAF is a company limited by guarantee without having a share capital. The governing documents are the memorandum and articles of association registered at Companies House and with the Charity Commission for England and  Wales.

As a company, SAAF does not operate for profit and has no shareholders; the company does not pay any dividends.  

As a Charity, SAAF is governed by its members, who take decisions by ordinary resolution at general meetings of the Charity. The Executive Committee, made up of elected honorary officers and regional committee chairs throughout England, oversee the running of the Charity in between general meetings.  

The Trustees of SAAF are the SAAF Directors, whoParagraph are elected from the Executive Committee.

One third of the Directors retire from office at each annual general meeting (AGM). Directors are elected by an ordinary resolution of members at the AGM.

Management: The Board of Directors manages the Charity on a voluntary basis without remuneration.

The Board of Directors report to the Executive Committee, which oversees the running of the Charity. The Executive Committee reports to the Regional Committees through the Regional Chairs who are members of the Executive. The Regional Committees report to the ordinary members at the general meetings, held four times a year, and annually at the Annual General Meeting (AGM).

Risk Management: Risk refers to the uncertainty surrounding events and their outcomes that may have a significant effect, either enhancing or inhibiting operational performance, achievement of aims and objectives, or meeting expectations of stakeholders. Identified risks need to be put into perspective in terms of the potential severity of impact and likelihood of their occurrence.

For each of the major risks identified, Trustees considered the action that needed to be taken to mitigate the risk, either by lessening the likelihood of the event occurring, or by lessening its impact if it did.
